These Terms and Conditions govern your access to and use of Qwibik One, Qwibik Cloud, our websites, applications, organization workspaces, account services, storage services, CRM, commerce, operations, reporting, integrations, support, and related services.
By creating an account, registering an organization, joining a workspace, clicking to accept these Terms, or using the Services, you agree to be bound by these Terms. If you use the Services on behalf of a company, nonprofit, school, agency, enterprise, or other legal entity, you represent that you have authority to bind that entity.
Business Workspace Terms
Qwibik One is designed primarily for organization-first business use. Some consumer protection laws may still apply depending on your location and how you use the Services. Nothing in these Terms limits rights that cannot legally be waived.
If you do not agree to these Terms, you must not access or use the Services.
Qwibik Technologies, Inc. and its affiliates that provide the Services.
Customer, you, your
The person or organization that creates, owns, administers, accesses, or uses a Qwibik workspace or account.
Services
Qwibik websites, apps, workspace provisioning, account services, modules, storage, integrations, support, and related offerings.
Workspace
An organization-specific environment provisioned through Qwibik One for users, settings, data, files, workflows, modules, and integrations.
Customer Content
Data, files, records, text, contacts, communications, configurations, and other materials submitted to or processed through the Services by or for you.
Order Form
A written or electronic ordering document, checkout flow, invoice, subscription record, or similar document specifying commercial terms for paid Services.
Qwibik may require email verification, organization verification, domain verification, ownership confirmation, identity checks, billing checks, or additional onboarding information before activating or continuing a workspace.
You are responsible for safeguarding credentials, sessions, recovery methods, and administrator access.
You are responsible for all activity under your account or workspace except where unauthorized activity results from Qwibik's breach of these Terms.
Workspace owners and administrators control user access, roles, permissions, settings, modules, records, files, and integrations inside their workspace.
Qwibik may reject, suspend, transfer, or reclaim workspace names, slugs, subdomains, identifiers, or organization records that are misleading, unlawful, infringing, abusive, inactive, or create security or operational risk.
Qwibik provides an organization operating system that may include workspace provisioning, team administration, storage allocation, CRM, commerce, operations, analytics, settings, access controls, and product modules released over time.
We may add, remove, modify, suspend, or discontinue features when reasonably necessary for security, reliability, legal compliance, product improvement, vendor changes, or business operations.
Preview and Roadmap Features
Features marked beta, preview, early access, coming soon, roadmap, or similar are provided for evaluation and may change, break, or be discontinued without becoming generally available. Do not rely on preview features for critical production workflows unless we expressly agree in writing.
Use the Services for emergency services, medical diagnosis, weapons, nuclear facilities, aviation control, life-support systems, or other high-risk activities where failure could lead to death, personal injury, severe property damage, or environmental harm.
We may investigate suspected violations and take appropriate action, including removing content, restricting features, suspending accounts, preserving evidence, notifying affected parties, or reporting unlawful activity to competent authorities.
You retain ownership of Customer Content. You grant Qwibik a limited, worldwide, non-exclusive license to host, process, transmit, copy, display, secure, back up, and use Customer Content only as necessary to provide, maintain, protect, improve, and support the Services, comply with law, and enforce these Terms.
You are responsible for the accuracy, legality, quality, and integrity of Customer Content.
You represent that you have all rights, permissions, consents, notices, and legal bases needed to submit Customer Content to the Services.
You are responsible for configuring access controls and ensuring that workspace users process Customer Content appropriately.
We may remove or restrict Customer Content where required by law, these Terms, a trusted abuse report, or a security obligation.
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. The Privacy Policy is incorporated into these Terms by reference.

Qwibik uses non-identifying data to maintain, secure, and improve the Services.
Where required by applicable data protection law, Qwibik and the Customer will enter into a Data Processing Addendum, including appropriate international transfer terms such as Standard Contractual Clauses or other lawful transfer mechanisms.
Qwibik uses reasonable technical and organizational measures designed to protect the Services and Customer Content against unauthorized access, loss, misuse, alteration, and disclosure.
Qwibik is responsible for platform-level security controls within systems it operates.
Customers are responsible for user management, role assignment, workspace settings, integration choices, endpoint security, and user behavior.
You must promptly notify us at security@qwibik.com if you suspect unauthorized access, credential compromise, data exposure, or security misuse.
No online system is completely secure, and you acknowledge that internet-based services involve inherent security risks.
The Services may integrate with or depend on third-party providers, including hosting, analytics, identity, email, storage, payment, communication, marketplace, and automation providers.
Third-party services are governed by their own terms, policies, security practices, and availability commitments.
You authorize Qwibik to exchange data with third-party services that you connect, approve, or use through your workspace.
Qwibik is not responsible for third-party services outside our control, including changes, outages, security incidents, or data handling by those providers.
You are responsible for maintaining required licenses, permissions, API keys, consent, and configuration for third-party services you connect.
Some Services may be free, trial, beta, discounted, or provided under a starter plan. Paid plans, billing automation, seat controls, storage upgrades, payment method management, and invoicing may be introduced or changed over time.
Fees, renewal terms, usage limits, payment timing, cancellation terms, and plan details will be stated in the applicable Order Form, checkout flow, invoice, or product notice.
Unless stated otherwise, subscriptions renew automatically until cancelled according to the applicable plan terms.
Fees are non-refundable except where required by law or expressly stated in the applicable Order Form.
You are responsible for taxes, duties, levies, and governmental charges, except taxes based on Qwibik's income.
If payment is overdue, we may suspend paid features, downgrade limits, restrict workspace access, or terminate the affected Services after reasonable notice where required.
Qwibik and its licensors retain all rights, title, and interest in the Services, software, designs, interfaces, source code, APIs, workflows, documentation, templates, trademarks, logos, and related technology.
Except for the limited right to access and use the Services under these Terms, no ownership rights are transferred to you.
You must not remove, obscure, or alter proprietary notices, brand features, watermarks, or legal notices in the Services.
If you provide suggestions, ideas, bug reports, feature requests, or other feedback, you grant Qwibik a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to use that feedback without restriction or compensation.
We will not publicly identify you as the source of feedback without your permission unless required by law.
You may stop using the Services at any time. Workspace owners may request deletion or export of workspace data subject to verification, product capabilities, retention obligations, and applicable law.
We may suspend or terminate access if you breach these Terms, create security or legal risk, fail required verification, misuse the Services, exceed limits, fail to pay fees, or if suspension is required by law.
Where reasonable and lawful, we will provide notice and an opportunity to cure before suspension or termination.
After termination, your right to access the Services ends, but provisions intended to survive will continue, including payment obligations, intellectual property, confidentiality, disclaimers, liability limits, indemnity, and dispute terms.
Customer Content may be deleted, retained, exported, or anonymized according to our Privacy Policy, Data Processing Addendum, backup practices, legal obligations, and product deletion procedures.
To the maximum extent permitted by law, the Services are provided on an as-is and as-available basis.
Qwibik disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, availability, accuracy, and error-free performance.
Qwibik does not warrant that the Services will meet every business, legal, regulatory, industry, archival, tax, accounting, or compliance requirement applicable to you. You are responsible for determining whether the Services are suitable for your intended use.
To the maximum extent permitted by law, Qwibik will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for loss of profits, revenue, goodwill, anticipated savings, business opportunity, data, or business interruption.
Liability Cap
To the maximum extent permitted by law, Qwibik's total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of the amounts paid by you to Qwibik for the affected Services in the 12 months before the event giving rise to liability or USD $100 if you used only free Services.
Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, Qwibik's liability will be limited to the greatest extent permitted by law.
You will defend, indemnify, and hold harmless Qwibik, its affiliates, directors, officers, employees, contractors, agents, and licensors from and against claims, damages, liabilities, penalties, losses, costs, and expenses arising from:
Your use of the Services.
Customer Content or instructions you provide to Qwibik.
Your breach of these Terms or an applicable Order Form.
Your violation of law, regulation, or third-party rights.
Acts or omissions by your users, administrators, contractors, customers, or connected third-party services.
You are responsible for using the Services in compliance with laws that apply to you, your users, your customers, your industry, and the countries where you operate.

Where applicable, Qwibik will support customer compliance through appropriate data processing terms and rights-request workflows.
Regulated industries
You must not use the Services for regulated health, finance, government, education, employment, or other sensitive workflows unless your plan and written agreement support the required controls.
Qwibik may restrict availability of certain features, integrations, jurisdictions, customers, or use cases where necessary for legal, security, vendor, or operational reasons.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, unless mandatory law requires otherwise.
Before filing a formal claim, each party agrees to attempt to resolve the dispute informally by contacting the other party and providing a reasonable description of the issue.
Subject to mandatory law, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services.
We may update these Terms from time to time. If changes are material, we will provide reasonable notice through email, in-product notice, website notice, or another appropriate method.
The updated Terms become effective on the date stated in the notice or on the page. Your continued use of the Services after the effective date means you accept the updated Terms. If you do not agree, you must stop using the Services before the updated Terms take effect.
